Welcome to WebSwifTPH, a web development company in Metro Manila, Philippines. We provide exceptional web design, web development, and related services. To ensure a smooth working relationship with our clients, we have established clear terms and conditions that outline the responsibilities and liabilities of both parties.

General Work Terms and Client Responsibilities & Liabilities

The client is solely responsible for providing all site content (text and multimedia) to WebSwifTPH prior to commencing work. The client should also take proper backup of all content on their site before letting WebSwifTPH undertake the required course of action towards meeting the contract. Any loss or damage to existing data shall not be the responsibility of WebSwifTPH under any circumstances.

The contract does not hold WebSwifTPH responsible for any data entry, web hosting, or custom artwork/graphics-related work/tasks unless otherwise specifically mentioned, paid for and agreed to by both parties towards such. Any artwork, images, or text supplied and/or designed by WebSwifTPH on behalf of the client will remain the property of WebSwifTPH and/or its suppliers unless otherwise agreed.

While WebSwifTPH will do its best to achieve all deliveries within the estimated time, there may, at times, be the need to extend or adjust time in cases of any Unforeseeable situations such as deployment problems, dependencies, 3rd-party support, development obstacles, resource unavailability due to an emergency, communication delays, and similar factors that are beyond control.

WebSwifTPH will provide the Client an opportunity to review the appearance and content of the website during the design and after completion. WebSwifTPH shall wait for a period of 7 days to hear any feedback on such shared work/outputs from the client. In case the client fails to respond within this period, the material will be considered as accepted and approved by the client automatically.

Copyright and Permissions

The client retains the copyright to data, files, and graphic logos provided by the client and grants WebSwifTPH the rights to publish and use such material. The client is responsible for obtaining the necessary permission and rights to use any copyrighted information or files belonging to a third party. The client is further responsible for granting WebSwifTPH permission and rights for use of the same and agrees to indemnify and hold harmless WebSwifTPH shall not be held liable for any claims arising from the client’s negligence or failure to obtain appropriate copyright permissions. A contract for website design and/or placement shall be regarded as a guarantee by the client to WebSwifTPH that for all such permissions client agrees to the additional charges before any additional work is commenced.

Confidentiality and Data Protection

WebSwiftPH will not be held responsible for any breaches of data protection, cyber security or privacy issues caused due to the client’s negligence or technical issues that are beyond the control of WebSwiftPH. The client is solely responsible for ensuring their website is GDPR compliant.

WebSwiftPH will treat all client information, including but not limited to personal details, passwords, login credentials, email addresses, and payment details, with the utmost confidentiality and will not disclose such information to any third party without the prior written consent of the client, except where required by law or for payment processing purposes.

Termination of Contract

The contract can be terminated by either party through written notice to the other party at any time. In the event of early termination by the client, WebSwiftPH will be entitled to compensation for all work completed up to the point of termination, as well as for any additional expenses incurred. In the event of early termination by WebSwiftPH, the client will be entitled to a refund of any payments made for work that has not yet been completed.

Governing Law and Jurisdiction

This agreement shall be interpreted and governed by the laws of the Philippines. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Metro Manila, Philippines.

Entire Agreement

This agreement represents the full and complete understanding between the parties involved and replaces any previous discussions, representations, or agreements. Any changes or modifications to this agreement can only be made in writing and must be signed by both parties.
